A non-compete agreement in China can restrict an eligible employee from joining or operating a competing business after employment ends. It must protect actual confidential interests, stay within a reasonable scope and a maximum two-year period, and provide monthly post-employment compensation. A signature alone does not establish enforceability.
This guide explains the national employer rules, how to assess compensation and release obligations, and what to coordinate when an EOR is the legal employer. Local rules and the actual agreement must also be checked before implementation.
Who Can Be Bound by a Non-Compete in China?
Article 24 of the Labor Contract Law limits the relevant personnel to senior management, senior technical personnel and other employees subject to confidentiality obligations. Do not require every ordinary employee to accept a post-employment restriction merely because a standard contract contains one.
Under Article 13 of SPC Labor Dispute Interpretation (II), effective September 1, 2025, an employee who has not known or accessed the employer’s trade secrets or relevant intellectual-property confidential matters can ask the court to confirm that the clause has not taken effect. A title or general skills are not substitutes for evidence of access.
Record the specific information, its commercial value, access permissions and protective measures. Article 10 of the 2025 revised Anti-Unfair Competition Law addresses trade secrets; confidentiality duties and post-employment restrictions are distinct. A confidentiality agreement can protect disclosure obligations without automatically justifying a restriction on future employment.
China Non-Compete Rules at a Glance
| Rule | National requirement | Legal basis | Employer action |
|---|---|---|---|
| Eligible employees | Senior management, senior technical personnel and other confidentiality-bound employees with actual protected-information access. | Labor Contract Law Article 24; Interpretation II Article 13 | Document role, information and actual access. |
| Maximum duration | No more than two years after employment ends; select a shorter period where justified. | Labor Contract Law Article 24 | Set start/end dates and avoid automatic extensions. |
| Business and geography | Agreed restrictions must be lawful and proportionate to the protected information; the excessive part may be invalid. | Article 24; Interpretation II Article 13 | Identify genuine competitors, products, business and locations. |
| Monthly compensation | Agree to monthly compensation during the post-employment restriction. | Labor Contract Law Article 23 | Set amount, bank details, due dates and payment owner. |
| Default where compensation is not agreed | If the employee performs the restriction, 30% of the preceding 12-month average wage monthly, raised to the employment-performance locality’s minimum wage if higher. This is not a universal 30% rate for every agreed clause. | Interpretation I Article 36 | Confirm the local minimum wage and any applicable local rules. |
| Employer fails to pay | With an agreed restriction and compensation, three months of nonpayment for employer reasons supports the employee’s request to release the restriction. | Interpretation I Article 38 | Track payment evidence and remedy missed payments promptly; check the 2025 guidance below. |
| Employer releases during the restriction | An employer may seek release; the employee’s claim for an additional three months of non-compete compensation is supported. | Interpretation I Article 39 | Issue a clear written release and settle accrued and additional compensation. |
| Employee breach | An agreed breach penalty may be claimed under an effective restriction; payment of the penalty does not necessarily end the obligation. | Labor Contract Law Article 23; Interpretation I Article 40; Interpretation II Article 15 | Prove effectiveness and actual breach; assess proportionality before claiming relief. |

China Non-Compete Compensation: What Should Employers Pay?
For a post-employment restriction, agree a monthly monetary amount rather than describing ordinary salary or bonuses paid during employment as advance compensation. Check the applicable local requirements and the scope and duration of the restriction. The Article 36 default applies where compensation was not agreed and the employee has performed the obligation; do not market it as a safe minimum for every case.
The MOHRSS 2025 Enterprise Non-Compete Compliance Guidelines distinguish operational guidance from the judicial default. Article 13 recommends monthly compensation generally at least 30% of the preceding 12-month average wage and no lower than the local minimum wage; for restrictions exceeding one year, it generally recommends at least 50%. These are guideline recommendations, not a replacement for statutory rules, local rules or case-specific review.
Hypothetical default calculation: if the preceding 12-month average is RMB 20,000, 30% is RMB 6,000. Compare that with the applicable local minimum wage and use the higher amount for the Article 36 default, assuming the employee has performed the restriction and no compensation was agreed. A two-year, broad-scope agreement still needs its own assessment; this example does not establish its validity.
Are Non-Compete Agreements Enforceable in China?
They can be enforceable when the employee, protected interest, scope, duration and compensation arrangements satisfy the applicable rules. Under Interpretation II Article 13, restrictions that exceed a reasonable proportion of the employee’s actual confidential-information exposure may be invalid to that extent. A nationwide or worldwide restriction requires a substantiated reason, not a generic template.
Post-employment compensation should not be confused with restrictions during active employment. Interpretation II Article 14 states that eligible employees cannot invalidate an in-employment restriction solely on the argument that such restrictions are impermissible or no separate compensation was paid. That does not authorize a blanket post-employment restriction without monthly compensation.
Article 37 of Interpretation I supports enforcement of an agreed restriction and compensation after employment ends, unless otherwise agreed, and supports the employee’s claim for compensation after performance. Review the signed documents, actual job and payment history together.
Releasing or Enforcing a Non-Compete: Waivers, Breach and Liquidated Damages
Decide whether to activate or waive at exit
Before the employee leaves, reassess the information they actually accessed and whether a restriction remains necessary. The MOHRSS guidelines allow employers not needing activation to give written notice, including in the termination certificate. Separate that pre-activation decision from a release during an already-running restriction. Align the decision with other post-termination obligations.
Release an active restriction in writing
State the release date, covered agreement, remaining confidentiality duties and payment reconciliation. Under Interpretation I Article 39, an employee requesting an additional three months of non-compete compensation when the employer releases during the restriction is supported. Do not assume stopping payments itself validly releases the employer from accrued or additional compensation.
If compensation stops
Interpretation I Article 38 supports release at the employee’s request after three months of employer-caused nonpayment. The 2025 MOHRSS guidelines additionally state that an employee may cease performance when payment is over one month overdue and remains unpaid after a reminder, or when it is unpaid for over three months. Preserve reminders and payment records and obtain case-specific advice on the applicable process; do not present the guideline and judicial rule as identical tests.
Assess and resolve an alleged breach
Preserve the signed restriction and amendments, protected-information access records, exit notice, monthly bank records and lawfully obtained evidence of competing work. Check actual products, business, role, territory and timing before alleging a breach. A competitor’s name or industry label alone is not the whole assessment.
Try a documented discussion or settlement with clear release, confidentiality and payment terms. Where unresolved, assess the competent labor arbitration body and limitation period; labor disputes generally follow arbitration before the available court route. Identify the relief, evidence and proper parties. Seek court enforcement of an effective award or judgment if it is not performed; do not assume an internal demand is directly enforceable.
Interpretation II Article 15 supports an employer’s claim under an effective restriction for return of compensation paid and agreed liquidated damages. Under Interpretation I Article 40, paying the penalty does not necessarily remove the continuing obligation. The 2025 guidelines recommend proportionate penalties generally not exceeding five times agreed total compensation; that recommendation is not an automatic statutory award or a substitute for judicial assessment.

| Duration | Start, end and a proportionate period within the two-year maximum. |
| Compensation | Monthly amount, calculation basis, payment date/account, reminders and reconciliation. |

For EOR employment contracts with non-compete terms, identify the China employing entity as the legal employer and coordinate the employee agreement, relevant client confidential information, activation and monthly compensation process before signing. The client should not assume its own commercial agreement alone binds the employee.
The employer coordinates signatures and payment through the agreed lawful employment process. Actual HROne standard terms, client funding, fee allocations and any additional-party rights must be confirmed in the signed documents; this article does not invent them. Frequently Asked Questions
What happens if my employer stops paying non-compete compensation?
Keep the agreement, bank records and reminders. Interpretation I Article 38 supports an employee’s request for release after three months of employer-caused nonpayment where restriction and compensation were agreed. The 2025 MOHRSS guidelines also address over-one-month overdue payment remaining unpaid after a reminder. Check the applicable process before changing conduct.
Is a non-compete valid without compensation in China?
An omitted compensation amount does not automatically make the clause ineffective. If the employee performs the restriction, Interpretation I Article 36 supports monthly compensation at 30% of the preceding 12-month average wage, raised to the local minimum wage if higher. An express no-payment term and local rules require separate assessment.
Can a non-compete exceed two years in China?
A post-employment restriction under Labor Contract Law Article 24 cannot exceed two years. The appropriate period must also be proportionate to the confidential information being protected.
Can an ordinary employee be bound by a non-compete?
A standard signature is insufficient. The eligible categories are senior management, senior technical personnel and others subject to confidentiality obligations; actual knowledge or access to protected information and proportionate scope must be assessed under Interpretation II Article 13.
Can I negotiate a non-compete clause in my employment contract?
Ask for the specific protected information and competitor scope, narrower activities and territory, a shorter justified period, clear monthly compensation and payment dates, and written activation/release terms. Record agreed changes in a signed document rather than relying on an oral waiver.
Can an employer end a non-compete early?
An employer can seek release during the restriction. Under Interpretation I Article 39, an employee’s request for an additional three months of non-compete compensation on that release is supported. Settle accrued amounts and give written notice.
Does paying liquidated damages end the restriction?
Not necessarily. Interpretation I Article 40 supports a request to continue performance after payment of the agreed breach penalty; the underlying restriction must still be effective and within its lawful scope and period.
